reAlpha Tech Corp. (NASDAQ:AIRE) announced on August 21 that it completed the approximately $8.5 million acquisition of InstaMortgage on August 19. The companies closed after waiving a condition tied to outstanding regulatory approvals in Virginia and New York. Shares closed 10.5% higher at $1.58 on August 21 following the announcement.
The consideration includes $500,000 in cash and $1.5 million of reAlpha common stock issued at closing. reAlpha Tech Corp. (NASDAQ:AIRE) may pay up to another $6.5 million through semiannual installments over three years using cash or common shares, although at least $1.5 million of the deferred consideration must be paid in cash.

InstaMortgage adds full-cycle lending capabilities covering origination, underwriting, funding, and loan sales. reAlpha Tech Corp. (NASDAQ:AIRE) said its combined mortgage platform now covers 38 states and Washington, D.C. Bringing lending in-house could retain economics previously passed to outside partners while giving reAlpha greater control over customer execution.
According to reAlpha Tech Corp. (NASDAQ:AIRE)’s acquisition announcement, InstaMortgage reported originating more than $4 billion of mortgages over the past five years. Combining that infrastructure with brokerage, mortgage and title services could improve cross-selling and reduce customer handoffs.
The acquisition could broaden reAlpha’s monetization opportunities, although its transaction-volume and revenue measures are not directly comparable. Company-defined total transaction volume—which can count the same property in multiple service categories—increased 70% to $150.4 million for the trailing 12 months ended June 30.
Second-quarter revenue at reAlpha Tech Corp. (NASDAQ:AIRE) fell 11% to $1.1 million, partly because the prior-year quarter included approximately $600,000 from GTG Financial, whose acquisition was later rescinded. A prolonged interruption in the larger market could reduce acquired revenue, loan-officer productivity, and potential cross-selling before integration benefits develop.
Liquidity increases the execution risk. reAlpha Tech Corp. (NASDAQ:AIRE) held $2.2 million of cash at June 30 after using $5.5 million in operating activities during the first half. As of its August 14 quarterly filing, management estimated that available cash would fund approximately three months of operations and concluded that substantial doubt existed about the company’s ability to continue as a going concern.
Although the $500,000 closing payment had already been placed in escrow by June 30, required future cash installments and integration expenses increase the company’s liquidity demands. Paying deferred consideration with shares would conserve cash but dilute existing investors.
The required audited and pro forma financial information for InstaMortgage was not yet available, although its SEC filing deadline had not passed. Investors therefore lacked complete visibility into the acquired business’s revenue, profitability, and capital requirements.

Conclusion
The strategic fit is clear: reAlpha Tech Corp. (NASDAQ:AIRE) now controls more of the mortgage process and can begin integration immediately. However, an unresolved approval covering roughly one-fifth of recent origination volume is not an administrative detail.
Early integration is worthwhile only if the approvals arrive promptly and direct lending improves the platform’s economics without intensifying reAlpha’s liquidity needs. Until then, the acquisition adds meaningful operating capability alongside substantial regulatory and financing risk.
