Vipshop (VIPS) Reported a 189% GAAP Profit Surge as Revenue Fell. How Much Came From a One-Off Gain?

Vipshop Holdings Limited (NYSE:VIPS) reported sharply higher GAAP earnings for the second quarter of 2026, but the increase came primarily from a commercial real estate investment trust transaction rather than the retail business.

At 5:16 a.m. EDT on August 25, the shares were down 4.9% in premarket trading. They recovered most of that decline before closing 1.1% lower at $14.16.

Revenue fell 4.3% year over year to RMB24.7 billion. GAAP net income attributable to Vipshop’s shareholders nevertheless increased 189.1% to RMB4.31 billion. GAAP diluted earnings rose to RMB8.82 per ADS from RMB2.91.

The company listed a commercial REIT covering two Shan Shan outlets and subscribed for 49% of the units. The transaction generated RMB7.70 billion of gross proceeds, a RMB5.79 billion investment gain, and RMB1.63 billion of related tax expense.

The resulting RMB4.16 billion after-tax REIT amount represented approximately 148% of the RMB2.82 billion year-over-year increase in GAAP net income attributable to shareholders. Other items offset part of that benefit, including a RMB1.56 billion withholding-tax expense associated with historical dividend distributions.

The transaction increased Vipshop’s gross liquidity. At June 30, the company held RMB29.9 billion of cash, cash equivalents and restricted cash, plus RMB3.6 billion of short-term investments. However, short-term borrowings also increased from year-end.

Vipshop generated RMB7.20 billion of company-defined non-GAAP free cash flow during the trailing 12 months ended June 30, 2026, compared with RMB6.84 billion during the trailing 12 months ended June 30, 2025. Vipshop calculates this measure as net cash from operating activities, adjusted by the net impact of its internet-financing activities, less capital expenditures.

The company also had $216.9 million remaining under its existing repurchase authorization at quarter-end. Its board authorized another $1 billion program that will begin after the existing authorization is fully utilized.

Bear Case

The operating retail business continued to contract. GMV fell to RMB50.6 billion from RMB51.4 billion, active customers declined to 42.3 million from 43.5 million, and total orders decreased 5.5% to 182.4 million.

GAAP operating income fell 10.5% to RMB1.52 billion, while operating margin narrowed to 6.2% from 6.6%. Company-defined non-GAAP operating income declined to RMB2.01 billion from RMB2.39 billion, and the corresponding margin contracted to 8.1% from 9.3%.

Company-defined non-GAAP net income attributable to shareholders dropped to RMB392.2 million from RMB2.08 billion, primarily because of the withholding-tax adjustment. The decline in adjusted operating income separately showed weaker operating profitability.

Quarterly company-defined non-GAAP free cash flow shifted to an RMB748.7 million outflow from an RMB801.8 million inflow a year earlier. Vipshop expects third-quarter revenue of RMB20.3 billion to RMB21.4 billion, representing a year-over-year change of negative 5% to flat.

Hedge Fund Sentiment

The filings available so far reflect positions held before VIPS reported its 2Q results. Insider Monkey’s database showed 24 hedge funds holding VIPS at the end of 2Q2026, up from 20 funds three months earlier.

Conclusion

The REIT transaction increased Vipshop’s gross liquidity and supported additional share repurchases, although short-term borrowings also rose. It did not signal a recovery in the underlying retail operation.

Revenue, customers, orders, and operating margins all declined. Until those measures stabilize, Vipshop Holdings Limited’s (NYSE:VIPS) reported profit surge should be viewed primarily as the result of a one-off asset transaction rather than an operating turnaround.
