Synopsys (SNPS) Targets a 42% Non-GAAP Operating Margin. How Much Is the Ansys Acquisition Distorting Profitability?

Synopsys, Inc. (NASDAQ:SNPS) delivered a stronger-than-expected fiscal third quarter, but its results present two different views of profitability. Revenue rose 42% year over year to $2.477 billion, ahead of consensus estimates of $2.44 billion. Company-defined non-GAAP earnings reached $3.91 per diluted share, above consensus estimates of $3.67, while GAAP earnings were $2.84 per share.

The quarterly beat therefore did not produce an immediate positive reaction. Synopsys, Inc. (NASDAQ:SNPS) raised its fiscal 2026 revenue outlook to $9.69 billion-$9.74 billion, including $2.98 billion from Ansys. Separately, its midpoint operating-margin reconciliation shows 41.5% on a company-defined non-GAAP basis versus 10.4% under GAAP. Synopsys, Inc. (NASDAQ:SNPS) states that these calculations do not constitute official fiscal 2026 guidance.

BULL CASE

The strongest argument for focusing on adjusted results is that acquired-intangible amortization is the largest reconciling item. Synopsys, Inc. (NASDAQ:SNPS) expects $1.61 billion-$1.615 billion of total acquired-intangible amortization in fiscal 2026, equivalent to 16.6 percentage points of revenue. The range is not presented as an Ansys-only amount. Still, the noncash purchase-accounting charge explains more than half of the 31.1-percentage-point operating-margin gap.

Cash generation also supports the view that GAAP profit understates near-term financial capacity. The operating cash flow outlook increased to approximately $2.8 billion, while the free cash flow outlook rose to approximately $2.6 billion. Free cash flow is defined as operating cash flow minus capital expenditures. Through the first nine months, Synopsys, Inc. (NASDAQ:SNPS) generated $2.30 billion of operating cash flow and repaid $3.46 billion of debt.

The operating backdrop remains favorable. Design Automation revenue, which includes Ansys, rose 53% to $2.00 billion, while Design IP returned to year-over-year growth. AI systems require increasingly complex chip design, verification, and physical simulation, giving the combined platform a credible cross-selling opportunity. Management expects the first joint products to begin contributing to EDA growth in fiscal 2027.

BEAR CASE

Acquired-intangible amortization does not explain the entire adjustment. Stock-based compensation adds 9.8 percentage points to the operating-margin reconciliation and is expected to reach $945 million-$955 million. That cost is noncash when recognized, but it can dilute shareholders or require buybacks to offset issuance.

Restructuring contributes another 4.1 percentage points, with projected charges of $380 million-$410 million. The fourth-quarter total is expected to reach $145 million-$175 million. The program includes efforts to accelerate post-Ansys cost synergies and broader portfolio reshaping. Acquisition and divestiture items add another 0.6 percentage points.

The reported growth rate also benefits heavily from consolidation. Ansys contributed approximately $711 million in the quarter, while the prior-year period included only two weeks after the acquisition closed. Third-quarter GAAP EPS also included a gain from the sale of the Processor IP Solutions business.

Amortization should not be dismissed automatically. It reflects intangible assets recognized through acquisition accounting and therefore carries information about the price paid for acquired businesses. Synopsys, Inc. (NASDAQ:SNPS) also had approximately $10.0 billion of debt as of July 31. Free cash flow must support deleveraging alongside investment and shareholder returns.

Hedge Fund Sentiment

The filings available so far reflect positions held before SNPS reported its recent results. Insider Monkey’s database showed 85 hedge funds holding SNPS at the end of 2Q2026, up from 84 funds three months earlier.

CONCLUSION

The Ansys acquisition materially affects the GAAP profitability of Synopsys, Inc. (NASDAQ:SNPS) through purchase accounting and restructuring tied partly to post-deal efficiencies. However, Synopsys, Inc. (NASDAQ:SNPS) does not isolate the exact Ansys-specific portion of the operating-margin gap. The disclosed amortization range covers all acquired intangibles, while stock compensation, restructuring, and other exclusions account for the remainder.

The better test is whether Synopsys, Inc. (NASDAQ:SNPS) can sustain approximately $2.6 billion of free cash flow while restructuring falls and GAAP operating margins move closer to adjusted margins. Until that convergence becomes visible, the 41.5% non-GAAP calculation indicates operating potential, but does not fully represent profitability.
