Why Is Teledyne Technologies (TDY) Paying a 52% Premium for Varex (VREX)?

Varex Imaging Corporation (NASDAQ:VREX) surged 48.5% to $18.42 on August 10 after Teledyne Technologies Incorporated (NYSE:TDY) agreed to acquire the X-ray technology company for $18.90 per share in cash. The offer represents a 52% premium to Varex’s unaffected closing price and values the transaction at approximately $1.1 billion, including equity awards and net debt.

Teledyne shares slipped just 0.15%, suggesting investors did not view the premium as an immediate threat to shareholder value. Varex closed about 2.5% below the offer, representing approximately 2.6% upside to the deal price. The narrow spread shifts the debate from whether Varex Imaging Corporation (NASDAQ:VREX) was undervalued to whether Teledyne Technologies Incorporated (NYSE:TDY) can earn an adequate return.

The strategic fit is visible. Varex Imaging Corporation (NASDAQ:VREX) fills specific gaps in Teledyne’s imaging portfolio. Teledyne Technologies Incorporated (NYSE:TDY) has cited anticipated synergies but has not quantified them or disclosed expected EPS accretion or return targets.

BULL CASE: VAREX FILLS HARD-TO-REPLICATE IMAGING GAPS

Teledyne Technologies Incorporated (NYSE:TDY) is not paying primarily for Varex’s current growth rate. It is acquiring technologies and customer relationships that could deepen its position across medical, security, and industrial imaging.

Varex produces X-ray tubes, flat-panel detectors, photon-counting detectors, high-voltage interconnects, and imaging software used by equipment manufacturers. These components support medical diagnostic systems, oncology equipment, cargo inspection, vehicle scanning, and industrial quality control.

Teledyne Technologies Incorporated (NYSE:TDY) already produces X-ray detectors, but it does not offer detectors designed for certain high-radiation environments such as oncology. It also produces vacuum electronic technologies without offering the X-ray sources supplied by Varex Imaging Corporation (NASDAQ:VREX). The companies therefore serve overlapping customer groups with products that management describes as largely complementary.

That distinction matters. Teledyne Technologies Incorporated (NYSE:TDY) is not simply adding another manufacturer of products it already sells. Varex Imaging Corporation (NASDAQ:VREX) could allow it to offer a broader collection of imaging components to the same global equipment manufacturers.

The acquisition also strengthens Teledyne’s largest business. Its Digital Imaging segment generated $868.7 million of second-quarter revenue, up 12.7%, and accounted for more than half of consolidated sales. Non-GAAP operating income increased 31.2% to $217.6 million, producing an operating margin of approximately 25%.

Varex Imaging Corporation (NASDAQ:VREX) would add approximately $850 million of annual revenue to that platform. Its technology in photon-counting detection, high-radiation applications, and cargo inspection could give Teledyne Technologies Incorporated (NYSE:TDY) additional exposure to markets where imaging requirements are becoming more specialized.

There is also a replacement component to the business. X-ray tubes have limited operating lives and must be replaced according to usage. CT tubes generally require replacement every two to six years, while heavily utilized systems can require replacements more frequently. That installed-base demand can be more durable than revenue dependent solely on new equipment purchases.

Varex Imaging Corporation (NASDAQ:VREX)’s latest quarter showed signs of operating improvement. Revenue increased 4% to $210.5 million, while adjusted EBITDA rose to $33.1 million from $27.5 million. Adjusted earnings of 31 cents per share exceeded the LSEG consensus estimate by 10 cents, and the company generated $21 million of operating cash flow.

Industrial revenue increased by $15.6 million to $76.5 million, supported by inspection products, digital detectors, and cargo and vehicle screening systems. That growth helps explain why Teledyne Technologies Incorporated (NYSE:TDY) sees more than a medical-imaging acquisition.

The valuation also looks less extreme when viewed against earnings rather than the unaffected share price. Varex Imaging Corporation (NASDAQ:VREX) reported trailing 12-month adjusted EBITDA of approximately $118 million at the end of its second quarter. Replacing the prior-year third-quarter contribution with the latest result produces approximately $124 million of rolled-forward adjusted EBITDA.

Using the rounded $1.1 billion transaction value and that adjusted EBITDA figure implies an illustrative multiple of about 8.9 times. The calculation combines figures from different measurement dates, but it provides a more useful starting point than the headline premium alone.

The transaction value also includes Varex Imaging Corporation (NASDAQ:VREX)’s equity awards and net debt. Based on approximately 42.1 million common shares outstanding, the cash consideration for the common equity is roughly $796 million before accounting for equity awards. Teledyne Technologies Incorporated (NYSE:TDY) is not writing a $1.1 billion check entirely to Varex shareholders.

BEAR CASE: THE LATEST EARNINGS BEAT WAS NOT ENTIRELY REPEATABLE

The skeptical case begins with the quality of Varex’s latest improvement.

Varex Imaging Corporation (NASDAQ:VREX) received $17 million in refunds related to tariffs previously paid under the International Emergency Economic Powers Act. It also recorded a $7 million revenue reduction for expected reimbursements to customers. The combined effect increased third-quarter gross profit by approximately $10 million.

Reported gross profit increased by $9.2 million year over year. Excluding the net tariff benefit, gross profit would have been slightly below the prior-year level. Much of the apparent margin expansion therefore came from a recovery of earlier costs rather than a lasting change in the business.

The adjusted earnings beat looks less decisive in that context. Teledyne Technologies Incorporated (NYSE:TDY) is buying Varex Imaging Corporation (NASDAQ:VREX) based on its future cash generation, not the accounting timing of tariff refunds.

Medical revenue also fell by $8.1 million to $134 million during the quarter. The decline affected radiography, mammography, CT, dental, and other product categories. Industrial growth more than offset that weakness, but medical products still represented nearly two-thirds of quarterly revenue.

Varex Imaging Corporation (NASDAQ:VREX) continues to face supply-chain disruption, customer destocking in China, localization pressure, and changing tariff policies. Its filings also describe Chinese investigations involving imported medical X-ray products, although those investigations were suspended indefinitely in November 2025.

The cash-flow record remains uneven. Varex generated $21 million of operating cash flow in the third quarter, but operating cash flow for the first nine months was only $3.4 million, down from $33.8 million a year earlier. The current-year total included $17.7 million of tariff refunds.

The stronger third quarter did not fully offset earlier operating-cash use from inventory and other working-capital movements. Refinancing primarily affected financing cash flow, although related interest payments also affected operating cash flow.

The margin comparison presents another concern. Varex’s third-quarter non-GAAP operating margin was 11.6%, less than half the approximately 25% margin reported by Teledyne’s Digital Imaging segment. The comparison uses company-specific non-GAAP definitions and is directional rather than strictly like-for-like.

Teledyne Technologies Incorporated (NYSE:TDY) may see the margin gap as an opportunity to improve Varex Imaging Corporation (NASDAQ:VREX)’s operations. The company has cited anticipated synergies, but investors still lack a quantified savings target, expected cross-selling contribution, integration-cost estimate, or timetable for EPS accretion.

Teledyne Technologies Incorporated (NYSE:TDY) expects to finance the transaction through its existing credit facility. As of June 28, the company had $1.16 billion available under its $1.2 billion facility, while quarterly free cash flow reached $284.7 million. Funding therefore appears readily available.

Borrowing for Varex Imaging Corporation (NASDAQ:VREX) will nevertheless reverse part of Teledyne’s recent deleveraging. Teledyne reduced net debt to $1.69 billion at the end of the second quarter after making a $450 million debt payment. Varex separately reported $347.1 million of debt and $99.2 million of cash as of July 3.

The acquisition can be financed without issuing Teledyne shares, but that does not make the capital free. Interest expense, integration costs, and Varex Imaging Corporation (NASDAQ:VREX)’s lower margins will determine whether the transaction adds economic value.

THE MERGER SPREAD PRICES IN A HIGH CHANCE OF COMPLETION

Varex Imaging Corporation (NASDAQ:VREX) closed at $18.42, about 2.5% below the $18.90 cash offer and offering approximately 2.6% upside if the transaction closes at the agreed price. That is a relatively narrow spread for a deal expected to close in early 2027.

Several terms support that confidence. Both boards unanimously approved the agreement, and the transaction does not contain a financing condition. Teledyne Technologies Incorporated (NYSE:TDY) has enough availability under its existing credit facility to fund the purchase.

The merger still requires approval from a majority of Varex’s outstanding shares, expiration or termination of the U.S. antitrust waiting period, and foreign regulatory clearances. Varex Imaging Corporation (NASDAQ:VREX) has said approvals are required in the United States, China, and numerous other jurisdictions, although the complete list of foreign filings was not publicly disclosed.

Teledyne agreed to offer regulatory remedies if necessary, including divestitures, operating restrictions, or changes to contractual relationships. However, the covenant does not require remedies affecting businesses or assets generating more than $25 million of aggregate fiscal-2025 annual revenue.

That limit gives Teledyne Technologies Incorporated (NYSE:TDY) some protection against sacrificing too much of the combined business to secure approval. It also introduces a boundary around the remedies regulators can demand without Teledyne’s further agreement.

Varex Imaging Corporation (NASDAQ:VREX) would owe Teledyne a termination fee of approximately $25.3 million under certain circumstances, including accepting a superior proposal. The initial outside date is May 10, 2027, with a possible three-month extension if regulatory conditions remain outstanding.

The spread primarily reflects completion and timing risk. It does not establish whether Teledyne is paying an economically attractive price.

HEDGE FUNDS WERE POSITIONED BEFORE THE DEAL

The filings available so far reflect positions held before the acquisition was announced.

According to Insider Monkey’s latest quarterly data, 20 hedge funds held Varex Imaging Corporation (NASDAQ:VREX) at the end of the first quarter of 2026, down from 24 funds three months earlier. Meanwhile, 52 hedge funds held Teledyne Technologies Incorporated (NYSE:TDY) at the end of the first quarter of 2026, down from 60 funds three months earlier.

WHAT INVESTORS SHOULD WATCH NEXT

The constructive scenario is straightforward. Teledyne uses its customer relationships, research spending, and global scale to accelerate Varex Imaging Corporation (NASDAQ:VREX)’s photon-counting, oncology, and security technologies. Cross-selling expands revenue, supply-chain management improves, and Varex’s margins move closer to those of Teledyne’s existing imaging businesses.

The illustrative 8.9 times adjusted EBITDA multiple suggests Teledyne would not need extraordinary growth for that scenario to work. It would still need enough margin improvement and revenue expansion to cover financing and integration costs while producing an acceptable return.

The skeptical scenario is equally clear. Medical demand remains sluggish, China localization pressures persist, and the tariff benefit disappears from future comparisons. Integration and financing costs then absorb much of Varex’s operating profit, leaving Teledyne with a strategically interesting business that fails to earn an attractive return.

The forthcoming proxy is likely to provide forecasts used in the Varex Imaging Corporation (NASDAQ:VREX) board’s review, along with the transaction background and Evercore’s fairness-opinion analysis. Those disclosures should offer a clearer view of the assumptions supporting the $18.90 offer.

Teledyne Technologies Incorporated (NYSE:TDY) must still explain the expected earnings contribution, integration costs, leverage impact, and timetable for accretion. It must also put numbers behind the anticipated synergies that helped support the strategic rationale.

The fit is credible. Varex Imaging Corporation (NASDAQ:VREX) gives Teledyne specialized X-ray sources and detectors, exposure to recurring replacement demand, and a broader offering for medical and industrial equipment manufacturers.

The economics remain the unresolved part of the deal. Teledyne Technologies Incorporated (NYSE:TDY) may be paying a 52% premium to Varex’s unaffected share price, but the rough EBITDA multiple is less dramatic than that headline suggests. Whether the acquisition works will depend on how much of Varex’s margin gap Teledyne can close and how quickly its anticipated synergies become visible in earnings and cash flow.
