ACV Auctions Inc. (NYSE:ACVA)—one of the leading car auction marketplaces in the US—saw its share price jump by 49 percent week-on-week, taking the first spot in the top-performing stocks in last week’s shortened trading session.
This followed an announcement from its Texas-based counterpart, Copart Inc., under which the latter’s subsidiary will acquire all of ACVA shares in an all-cash transaction at a price of $10.50 apiece, or for a total of $1.9 billion.
The offer price marked a 45 percent premium over its closing price of $7.22 on Thursday, September 10, prior to the announcement.
The completion of the tender offer is subject to the successful acquisition of a majority stake in ACVA or the expiration of the waiting period.
The transaction is expected to be completed by the end of the year.

‘Fully Complete Remarketing Platform’
Copart Inc. believed that its takeover of ACV Auctions Inc. would see the establishment of an industry-leading, fully complete remarketing platform, supported by plans to participate in dealer trade-ins, wholesale marketing, salvage disposition, and international resale, among others.
It said that it will also tap artificial intelligence tools for valuation, dealer-focused inspection technology, and condition data to boost its operations.
Rating Downgrade to Hold
Following the news, investment firm Needham & Company downgraded its rating for ACV Auctions Inc. to hold from buy, while also removing its price target of $9.
It said that the coverage was based on its belief that Copart’s offer price was just fair and that it was unlikely to receive a competing offer given the limited number of players in the auto wholesale market.
Wider Losses
The sale followed ACV Auctions Inc.’s higher losses in the second quarter of the year.
During the period, it said net loss widened by 12.3 percent to $8.2 million from $7.3 million in the same period last year.
Total revenues, however, increased by 10.4 percent to $213.9 million from $193.7 million year-on-year, thanks to higher contributions from marketplace and services, which grew by 7.5 percent to $189.2 million, and customer assurance sales, which increased by 39 percent to $24.69 million.
Q2 Hedge Fund Holdings Drop
Optimism from institutional investors remained intact for ACV Auctions Inc. in the second quarter of the year despite the marked drop in hedge fund holders with exposure to the stock.
During the period, 39 hedge funds held positions in the stock, down from 47 in the first quarter of the year.
However, their combined holdings soared by 66.7 percent to $396 million from $237.5 million quarter-on-quarter, signaling that existing investors continued to pour more capital into its stock.
