  1. October 1, 2010, NeuLion, Inc. acquired 100% of the outstanding securities of TransVideo International Ltd. (excluding its interest in KyLinTV, Inc.) in exchange for 22,000,802 common shares of NeuLion, Inc. AvantaLion LLC owned 81% of TransVideo International Ltd. and received the shares in exchange for its ownership interest in TransVideo International Ltd.
  2. AvantaLion LLC is a Delaware limited liability company that is controlled by Mr. Wang. Mr. Wang only has a pecuniary interest in two-thirds of the shares owned by Avantalion.
  3. Mr. Wang disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that Mr. Wang is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
  4. The purchase price of this transaction was Cdn$0.60 per share. The purchase price was converted to US dollars using the Bank of Canada noon rate on September 28, 2010 of 0.9703.
