Here’s Why Kinetik Holdings Inc. (KNTK)’s Strong Fundamentals Could Fuel a Potential Takeover

According to a September 9 Bloomberg report, Kinetik Holdings Inc. (NYSE:KNTK) is exploring strategic alternatives, including a potential sale, as midstream assets become increasingly attractive to infrastructure and energy buyers.

Improving financial performance could strengthen the company’s negotiating position if it moves forward with a sale. In the second quarter, adjusted EBITDA increased to $280.8 million from $251.2 million in the first quarter, while free cash flow reached $105.2 million. Management also raised its full-year 2026 adjusted EBITDA guidance to between $1.04 billion and $1.10 billion, with the $1.07 billion midpoint approximately 7% above the midpoint of its original outlook.

The stronger guidance reflects growing momentum across Kinetik’s system and provides a potentially attractive backdrop for a strategic transaction heading into 2027.

Capitalizing on Strong Midstream M&A

Kinetik Holdings Inc.’s potential sale comes as demand for high-quality midstream infrastructure remains strong. Strategic and infrastructure buyers have continued to pursue assets that offer stable, fee-based cash flows and exposure to growing U.S. energy production.

Recent transactions highlight the appetite for midstream assets. Enbridge agreed to acquire Tallgrass Energy’s oil business for $2.55 billion, while ONEOK agreed to acquire Brazos Midstream’s Midland Basin assets for $4.43 billion.

Kinetik could attract similar interest because of its position in the Permian Basin. The company operates more than 4,600 miles of pipelines and owns processing and compression infrastructure serving the Delaware Basin.

For a larger midstream operator, acquiring Kinetik could provide an opportunity to expand its Permian footprint while gaining additional processing, gathering, transportation, and compression infrastructure.

Kinetik’s predominantly fee-based business model could also make it attractive to buyers seeking predictable cash flows rather than direct exposure to commodity prices. Higher volumes and additional processing capacity could provide operating leverage as production across the Permian continues to grow.

The Potential Sale Also Creates Risks

Kinetik Holdings Inc.’s strong performance could help shareholders receive an attractive takeover premium, but the potential sale also creates meaningful downside risks.

The stock surged more than 5%in after-hours trading following reports of a potential transaction, adding to its already substantial 2026 gains. This creates the possibility of a “sell-the-rumor” reversal if Kinetik fails to find a buyer or ultimately decides against a sale.

The company’s stronger financial outlook could also make an acquisition more expensive. With management raising EBITDA guidance, prospective buyers may have to pay a significant premium while also assuming Kinetik’s existing debt and future capital commitments.

Kinetik has also increased its 2026 capital expenditure guidance to approximately $560 million. The spending is directed toward projects including KLII, accelerated customer development, optimization initiatives, and ECCC pipeline expansion.

While these investments could support future growth, they also increase the amount of capital a prospective buyer would need to commit after completing an acquisition.

Hedge Fund Positioning

Institutional investors remain closely involved in Kinetik Holdings Inc.. The number of hedge funds holding positions in the company increased to 29 in the second quarter from 25 in the first quarter, according to Insider Monkey data.

Citadel Investment Group increased its Kinetik position by 8% to approximately $88.74 million, while Zimmer Partners significantly increased its stake by 530% to approximately $40.51 million.

At the same time, short interest remains notable. As of August 31, approximately 5.86 million KNTK shares were sold short, representing about 3.74% of the company’s public float, down from 6.10 million shares on August 14.

The Verdict

Kinetik Holdings Inc.’s potential sale comes at an attractive time for shareholders. Stronger EBITDA, higher volumes, growing demand for Permian infrastructure, and a favorable midstream M&A environment could give the company leverage in negotiations with potential buyers.

However, investors should not treat the reported sale discussions as a guaranteed catalyst. Kinetik’s strong 2026 rally has already increased expectations, while higher capital expenditures and a potentially elevated acquisition valuation could make a transaction more difficult to complete.

Overall, Kinetik’s improving fundamentals make it an attractive strategic asset, but much of the near-term upside may now depend on whether management can convert the reported sale interest into a transaction at a compelling valuation.
