GameStop (GME) Plans to Use $358M of Cash to Reduce Dilution in Its Note Exchange. Is Liquidity Being Put to Better Use?

GameStop Corp. (NYSE:GME) amended its agreement to exchange approximately $1.4 billion of convertible senior notes due in 2030 and 2032. The transaction was originally structured as an all-stock exchange, with the final share count partly tied to a 35-trading-day reference period. Under the amended terms, holders will receive approximately 55.5 million shares and $358.4 million in cash. The cash replaces the remaining stock consideration, fixes the share count, and eliminates additional contingent issuance under the exchange.

Bull Case

The strongest argument is certainty. The original structure left the ultimate share issuance exposed to the remaining reference period and a price-dependent formula. GameStop Corp. has capped the exchange consideration at approximately 55.5 million shares and shifted 27% of the consideration to cash. Shareholders now know the dilution attached to the transaction.

Closing the exchange would cancel approximately $1.4 billion of principal. Although approximately $2.8 billion of convertible notes would remain, the reduction narrows future repayment and conversion obligations. The $358.4 million payment is also modest relative to the preliminary quarter-end balance of $5.05 billion to $5.07 billion in cash, cash equivalents and marketable securities reported by GameStop Corp..

Preliminary operating income is expected to reach $150 million to $170 million, up from $66.4 million a year earlier. That improvement points to stronger preliminary operating profitability despite lower sales, although GameStop Corp. has not yet disclosed the underlying drivers.

Bear Case

The exchange still requires cash and substantial equity issuance. GameStop Corp. will spend $358.4 million and issue approximately 55.5 million shares to retire notes carrying a 0.00% coupon. With no regular cash interest to eliminate, the transaction primarily buys capital-structure certainty.

The operating backdrop makes that cash use debatable. Preliminary net sales are expected to fall to $780 million to $800 million from $972.2 million. GameStop Corp. attributed the decline to the prior-year Nintendo Switch 2 launch, planned store closures, and the divestiture of its France operations, but the preliminary results still show lower reported revenue.

Expected net income of $290 million to $310 million also depends heavily on investments. The quarter includes approximately $238 million of net gains related to an eBay Inc. (NASDAQ:EBAY) derivative and equity investment, partly offset by an approximately $75 million loss on digital assets and related receivables. Those positions can generate substantial gains, but they also introduce volatility and do not demonstrate renewed retail growth.

Hedge Fund Sentiment

The filings available so far reflect positions held before GameStop Corp. reported the amended note exchange and preliminary second-quarter results. Insider Monkey’s database showed 37 hedge funds holding GameStop Corp. at the end of 2Q2026, down from 52 funds three months earlier.

Conclusion

The amendment would improve certainty by fixing the share issuance and, if the exchange closes, canceling approximately $1.4 billion of debt while leaving approximately $2.8 billion of notes outstanding. Still, GameStop Corp. plans to use cash to retire zero-coupon notes while issuing millions of shares. Whether liquidity is being put to better use will depend on sustained operating improvement and returns from the investment portfolio. For now, the exchange clarifies the capital structure without reversing lower reported sales or validating the broader investment strategy.
