Helios Technologies (HLIO) Turns One Motorcycle Deal Into A Bigger Bet

On September 9, Helios Technologies (NYSE:HLIO) announced that its operating company, Enovation Controls, had acquired certain assets of Radio Sound and landed a multi-year contract to supply electronics to Indian Motorcycle. The deal itself is small, with no purchase price disclosed and the transaction structured as a simple sign-and-close. But it followed an August 10, earnings report in which Helios posted one of its strongest quarters in years, and together the two announcements say more about where this company is headed than either one does alone.

A Second Act In Electronics

The Radio Sound assets bring amp-on-speaker technology, automotive audio bus communication, automatic speaker detection, custom enclosure design, vehicle-to-vehicle communication and antenna technology into Helios’ electronics lineup, and management says the plan is to carry those capabilities into products sold well beyond Indian Motorcycle.

That ambition lines up with what the numbers already show. In the second quarter of 2026, Electronics segment sales rose 19% to $85.5 million and operating income nearly doubled to $11.2 million, pushing operating margin up 490 basis points to 13.1%. Companywide, sales reached $231.9 million, up 9% year over year, or 16% on a pro forma basis, while adjusted diluted earnings per share climbed 49% to $0.88. The quarter also generated a record $42 million in operating cash flow and $31 million of free cash flow, and net-debt-to-adjusted-EBITDA leverage fell to 1.4 times from 2.6 times a year earlier, leaving Helios more room to keep making bolt-on moves like this one.

On the strength of that quarter, Helios raised its full-year sales outlook to $880 million to $900 million, from $840 million to $870 million previously, and lifted its adjusted diluted EPS target to $3.05 to $3.25. Indian Motorcycle, which separated from Polaris as a standalone company in February 2026, is described in the release as a returning customer, meaning Helios is winning back business it had already proven it could handle.

The Fine Print Behind The Headline

Helios itself called the Radio Sound transaction “not financially material” and disclosed neither a purchase price nor detailed terms, leaving investors little to measure the deal against beyond management’s own description of it as strategic. The contract also rests on a single customer relationship, and Indian Motorcycle has existed as a standalone company only since its February split from Polaris, a shorter track record than a longer-tenured customer would offer. CFO Jeremy Evans flagged tougher year-over-year comparisons in the back half of 2026, along with geopolitical uncertainty, tariff dynamics and broader inflationary pressures, even as the company raised its outlook.

Helios still carried $105.4 million in revolving credit borrowings and $226.1 million in long-term debt as of July 4, so while leverage has improved, the balance sheet is not clean. The growth story is also uneven across the business: Hydraulics, which made up $146.4 million of the $231.9 million in second-quarter sales, grew a slower 4% with operating margin expanding a smaller 200 basis points, a reminder that the Electronics momentum this deal is meant to extend is concentrated in one half of the company.

What The Positioning Data Shows

Hedge fund holders in Helios rose from 29 to 31 quarter over quarter, pointing to funds adding rather than trimming positions. Short interest sits at just 2.90% of float, a level that suggests little organized skepticism toward the stock. Shares trade at a forward price-to-earnings ratio of 31.43 as of September 15, a multiple that already prices in a good deal of the growth Helios has been delivering. That combination leaves little room for disappointment.

Where This Leaves Investors

Helios has strung together a quarter of accelerating growth and a small acquisition that management frames as a template for winning more electronics business, and the two stories reinforce each other. For the growth case to keep compounding, the Radio Sound technology has to actually translate into contracts beyond Indian Motorcycle, something the company has not yet shown. For the caution to matter, the tougher back-half comparisons Evans flagged would need to show up as slower growth than the raised guidance implies.
