Zhihu (ZH) Signed a Conditional RMB1.5 Billion AI Fund Deal. Can It Justify the Risk?

Zhihu Inc. (NYSE:ZH) proposed an RMB1.5 billion AI fund commitment, about 34% of its June cash and investment balance. Potential technology partnerships must justify years of illiquidity, manager discretion and uncertain portfolio returns.

Zhihu Inc. (NYSE:ZH) disclosed on September 6 that a wholly owned subsidiary had signed a conditional RMB1.5 billion cash commitment to Tianjin Lisi Xingshen Equity Investment Partnership. The agreement, dated September 4, requires shareholder approval, with payments funded internally through capital calls.

Zhihu Inc. expects to hold no more than 30% of the fund and will have no role in daily management or individual investment decisions. The blind-pool structure asks shareholders to approve a manager and strategy before specific investments are identified. The fund targets early-to-mid-stage private AI and technology companies with significant mainland China connections.

BULL CASE

The strategic rationale fits the company’s existing capabilities. Zhihu Inc. is developing AI search, expert-data solutions and AI-enabled content businesses. Exposure to foundation models, infrastructure, robotics and applications could create technology partnerships and help identify emerging customer needs.

A specialist fund also supplies investment research, deal sourcing and portfolio oversight that would require substantial internal resources to replicate. For shareholders, the potential benefit combines investment returns with commercial opportunities for the core content platform. Any cooperation would still require separate assessment and agreement.

There is an operating business to build around. Second-quarter paid content and intellectual-property operations revenue increased to RMB425.9 million from RMB408.2 million. Zhihu Inc. also reduced total operating expenses by 13% to RMB469.4 million. These results support a focused approach in which outside technology complements established content and expert relationships.

BEAR CASE

The commitment is large relative to available resources. Zhihu Inc. reported RMB4.4238 billion in cash, cash equivalents, current and non-current term deposits, restricted cash and short-term investments as of June 30. The proposed commitment equals approximately 33.9% of that combined balance, based on an article calculation. The total includes assets with different liquidity restrictions and maturities.

That scale matters while the core business remains under pressure. Second-quarter revenue declined to RMB690.1 million from RMB716.9 million, and the GAAP operating loss was RMB75.9 million. Allocating substantial resources to private investments would reduce flexibility for product development, operations, and shareholder returns.

The fund lasts seven years from first closing, with two possible one-year extensions controlled by the general partner. Its investment period is four years, while capital calls require at least three business days’ notice, subject to the subscription agreement. A commitment paid through calls therefore still demands careful cash planning.

Economics and oversight need scrutiny. Disclosed management fees amount to a mid-single-digit percentage of each limited partner’s paid-up contribution across the fund term. After contributed capital is returned, proceeds are shared with the general partner, but the announcement does not quantify that split. Semiannual operating reports and annual audited reports provide visibility; investment selection remains delegated.

Hedge Fund Sentiment

The filings available so far reflect positions held before Zhihu Inc. reported its proposed AI fund subscription. Insider Monkey’s database showed 6 hedge funds holding Zhihu Inc. at the end of 2Q2026, down from 7 funds three months earlier.

CONCLUSION

Zhihu Inc. could gain useful technology access, but the proposed commitment would place substantial financial resources behind a portfolio it cannot select. Strategic relevance alone does not establish an attractive return.

The shareholder circular, expected on or before September 30, should help investors assess the proposed fund structure, fee and profit-sharing economics, governance safeguards and deployment plans. Approval should turn on those terms and the cash retained for the core business.
