UGI Corporation (NYSE:UGI) closed 9.4% higher at $38.39 on Tuesday following The Wall Street Journal’s report that KKR & Co. Inc. (NYSE:KKR) offered roughly $9 billion, or $42.50 per share, for the energy distributor. The reported price represents a 21.1% premium to Monday’s $35.09 close, but approximately 10.7% upside from the post-report closing price. No definitive agreement has been announced. UGI did not immediately respond to Reuters’ request for comment, while KKR declined to comment. For UGI Corporation (NYSE:UGI), the central question is whether $42.50 captures the value of an established utility and energy network that is positioning itself to serve power-hungry AI data centers.
UGI is not a pure AI-power company. Its portfolio spans natural-gas and electric utilities, pipelines, storage, AmeriGas propane distribution, and European energy operations. UGI Corporation (NYSE:UGI) reaffirmed fiscal 2026 non-GAAP adjusted diluted EPS guidance of $2.75 to $2.90 after reporting year-to-date non-GAAP adjusted diluted EPS of $3.17, down from $3.55. The reported offer equals approximately 15 times the midpoint of that guidance, a credible valuation for the current earnings base but not necessarily a knockout price if data-center demand improves the company’s growth profile.
That possibility gained substance in May, when UGI Corporation (NYSE:UGI) and Prime Data Centers announced a partnership to develop planned natural-gas infrastructure for a proposed AI and high-performance computing campus and on-site generation facility in Pennsylvania. UGI and Prime said demand could exceed 100,000 dekatherms per day within three to five years, while UGI’s planned midstream investment could surpass $100 million. The project shows how existing pipelines, storage, and Marcellus Shale access could support larger energy loads.

BULL CASE: $42.50 CRYSTALLIZES VALUE NOW
If an agreement is reached and completed, the reported offer would give UGI Corporation (NYSE:UGI) shareholders an immediate premium without requiring them to fund years of infrastructure construction or wait for data-center returns. It also validates the strategic appeal of assets capable of supplying natural gas for reliable on-site power generation.
The transaction would transfer regulatory, financing, and construction risk to KKR while monetizing a diversified portfolio whose slower businesses can obscure the value of its utility and midstream assets. For investors prioritizing certainty, $42.50 offers a defensible exit.
BEAR CASE: THE SPREAD REFLECTS REAL DEAL RISK
UGI Corporation (NYSE:UGI) still faces a reported approach rather than an executable transaction. The bidder’s financing, the board’s response and potential conditions remain unknown. If negotiations fail, the shares could surrender part of Tuesday’s gain.
The standalone business also carries challenges. Third-quarter non-GAAP adjusted diluted loss widened to $0.20 per share from $0.01, while AmeriGas retail gallons declined 10%. Data-center projects require permits, capital, and customer commitments before producing returns. Those uncertainties may help explain why the shares remain below $42.50.
INSIDER MONKEY’S HEDGE FUND DATA
Insider Monkey’s hedge fund database shows that 41 hedge funds held positions in UGI Corporation (NYSE:UGI) at the end of the first quarter of 2026, compared with 43 funds at the end of the preceding quarter. These figures do not capture later trades or investors’ reactions to the reported approach to UGI Corporation (NYSE:UGI).
CONCLUSION
The reported bid does not fully value every possible AI-powered outcome, but if an agreement is reached and completed, it would pay shareholders before those possibilities become dependable earnings. UGI Corporation (NYSE:UGI) has grounds to seek better terms or test whether another buyer assigns greater value to its infrastructure. Without a higher offer, the board must weigh uncertain data-center upside against a credible 21.1% premium.
