Dow Inc. (DOW) Agrees to Sell 50% Ownership in Dowaksa Joint Venture for $125 Million

Dow Inc. (NYSE:DOW) announced that it has entered into a sale and purchase agreement to sell its 50% stake in DowAksa Advanced Composites Holdings BV to its joint venture partner, Aksa Akrilik Kimya Sanayii A.Ş., part of Akkök Holding.

With this agreement, Aksa will assume full ownership of DowAksa. Dow expects to receive $125 million from the sale, reflecting an enterprise value roughly 10 times the projected 2025 operating EBITDA, after accounting for debt.

Dow Inc. (NYSE:DOW) and Aksa originally launched the DowAksa joint venture in 2012 to produce and market carbon fiber and related products.

Dow Inc. (NYSE:DOW)’s move to exit the joint venture aligns with its strategy of concentrating on core, high-value downstream operations under its “best-owner mindset” approach. The funds from the sale will support the company’s balanced approach to capital allocation.

The deal is expected to be finalized in the third quarter of 2025, pending standard regulatory approvals and closing conditions.
