Cellebrite DI to Acquire Corellium for $170M

On Thursday, Cellebrite DI Ltd. (NASDAQ:CLBT) announced an agreement to acquire Corellium, a provider of Arm-based virtualization software.

The acquisition is valued at an enterprise value of $170 million in cash, with $20 million converted to equity at closing. Corellium securityholders also stand to receive up to an extra $30 million in cash if certain performance milestones are achieved over the next 2 years.

The deal is anticipated to close in the summer of 2025, pending approval from the Committee on Foreign Investment in the United States/CFIUS and other customary closing conditions. The acquisition is set to redefine digital investigations and enhance the security of smart devices, such as iOS, Android, automotive systems, and any Arm-based IoT devices. The combination of Cellebrite’s digital investigation platforms with Corellium’s virtualization technology will support capabilities in vulnerability research, malware analysis, and security testing.

Specific benefits for customers in public safety, defense, intelligence, and the private sectors include accelerated identification of mobile vulnerabilities & exploits, the industry-first ability to visualize & interact with virtual devices as if they were physically present, and increased efficiency & speed in DevSecOps across all Arm-based devices. It will also facilitate Arm-native and dynamic Mobile Penetration Testing.
