The sales reported in this Form 4 were effected pursuant to Rule 10b5-1 automatic trading plans adopted by two trusts, Happy Bear Trust and Terrapin Trust, for the minor children of the reporting person on March 1, 2012. The first sales occurred on April 16, 2012. Additional sales will occur automatically on a quarterly basis until the plans terminate on December 31, 2013.
Shares are held in two separate trusts, Happy Bear Trust and Terrapin Trust, for the benefit of Mr. Urso's minor children.
