Under the agreement, the reporting person sold shares of Common Stock of John B. Sanfilippo & Son, Inc. (the Company) under Rule 144 of the Securities Act of 1933, and with the proceeds of such sale will purchase or cause to be purchased, an equal number of shares of Class A Common Stock of the Company from James J. Sanfilippo.
