On April 21, 2025, the reporting person filed a Form 4 (the "Form 4") that inadvertently reported that 14,958 shares were held by NexPoint Asset Management, L.P. ("NexPoint Asset Management"). These shares are actually held by Highland Capital Management Services, L.P. ("HCM"). This amendment is being filed to correctly state the number of shares indirectly owned by the reporting person through NexPoint Asset Management and HCM.
Following the transactions disclosed in the Form 4, 35,935 shares were held by Drugcrafters, L.P. "Drugcrafters"), 81,039.19 shares were held by PCMG Trading Partners XXIII, L.P. ("PCMG"), 269,139 shares were held by Governance Re Ltd., 14,958 shares were held by HCM, 5,920 shares are held by NexPoint Real Estate Advisors, L.P. and 1,356,532.24 shares are held by NexPoint Real Estate Advisers X, L.P. the "Adviser"). Mr. Dondero owns 75% of PCMG and HCM, and PCMG owns 99% of Drugcrafters. Drugcrafters, PCMG, Governance Re Ltd., HCM and the Adviser are ultimately controlled by Mr. Dondero. Mr. Dondero may be deemed to be an indirect beneficial owner of shares held by such entities. Mr. Dondero disclaims eneficial ownership of such shares except to the extent of his pecuniary interest therein.
Following the transactions disclosed in the Form 4, 1,444,014 shares were held by Highland Opportunities and Income Fund and 606,269 shares were held by Highland Global Allocation Fund (both of which are managed by NexPoint Asset Management, which is ultimately controlled by Mr. Dondero). Mr. Dondero may be deemed to be an indirect beneficial owner of shares held by such entities. Mr. Dondero disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
