On September 13, 2011, New Asia Partners LLC ("NAP") transferred an aggregate of 220,000 shares of common stock (the "Shares") and warrants to purchase an aggregate of 100,000 shares of Common Stock of Leviathan Minerals Group Incorporated (the "Issuer) to Wyncrest Capital, Inc. in consideration for business advisory services rendered.
The securities reported were, at the time of the transaction, owned of record by NAP. Dennis Nguyen is the Chairman of NAP and the owner of 100% of the outstanding membership interests of Newport Capital LLC, which owns 90% of the outstanding membership interests of NAP. Dennis Nguyen may be deemed to be the beneficial owner of the securities of the Issuer owned of record by NAP as he has voting and investment control over such securities.
On September 13, 2011, NAP assigned 594,321 shares of Common Stock of the Issuer and warrants to purchase 551,457 shares of Common Stock of the Issuer for no consideration in connection with a gift transfer to New Asia Partners China II, LLC ("NAP II"), a wholly owned subsidiary of NAP.
Dennis Nguyen is the Chairman of NAP II and may be deemed to be the beneficial owner of the securities of the Issuer held of record by NAP II.
