Mr. Ross did not initiate the sales reported herein. He had pledged approximately 565,000 shares of his common stock to a financial institution as collateral for a personal loan. The financial institution notified Mr. Ross that he was in default under such loan earlier this year and that it intended to sell up to all of the pledged shares in satisfaction of the obligation. The financial institution now claims to have sold a portion of the pledged shares and provided the information that Mr. Ross used as a basis for this Report. Therefore, Mr. Ross cannot verify the information rergarding such sales. Mr. Ross does not agree with the financial institution's actions regarding the obligation and the pledged shares. These actions are being contested in ongoing legal proceedings.
