This Form 4/A amends the Form 4 filed on July 13, 2011 (the "Original Filing") to correct the price of securities that was inadvertently reported on an aggregate basis in the Original Filing.
On July 11, 2011, Griffin Ventures Ltd. ("Griffin Ventures") sold an aggregate of 28,000 shares (the "Shares") of common stock, par value $0.001 per share (the "Common Stock") of the Issuer for the aggregate sum of $100,000, or $3.5714 per share of Common Stock, pursuant to the terms of a stock purchase agreement.
Represents the Shares owned of record by Griffin Ventures and beneficially owned by Amir Heshmatpour and sold by Griffin Ventures as described in footnote (2) above.
Represents the Shares owned of record and sold by Griffin Ventures as described in footnote (2) above.
Represents the aggregate shares of Common Stock owned beneficially by Amir Heshmatpour, which includes 2,372,250 shares of Common Stock owned of record by AFH Holding and Advisory LLC ("AFH Holding") and 272,000 shares of Common Stock owned of record by Griffin Ventures. Amir Heshmatpour is the sole owner and manager of both AFH Holding and Griffin Ventures and has sole voting and investment control over the securities owned of record by AFH Holding and Griffin Ventures. Therefore, he may be deemed to beneficially own the 2,372,250 shares of Common Stock owned by AFH Holding and the 272,000 shares of Common Stock owned by Griffin Ventures.
