Ms. Denholm delegated all investment decisions in this account to this private investment manager and the private investment manager used its discretion to consummate these purchase and sale transactions without Ms. Denholm's knowledge or approval and contrary to instructions provided by Ms. Denholm to her investment management firm, an affiliate of the private investment manager, prohibiting transactions in the Company's common stock.
