This amount has been updated to reflect 439 shares of WebMD Health Corp. ("WebMD") that had been previously unreported. The shares were acquired upon conversion of HLTH Corporation ("HLTH") shares pursuant to the merger between HLTH and WebMD on October 23, 2009. An amendment to the Form 4 filed by the reporting person on October 27, 2009 was filed on June 16, 2011.
This price is a weighted average price. These shares were sold in multiple transactions at prices ranging from $48.00 to $48.16, inclusive. The reporting person undertakes to provide to WebMD, any security holder of WebMD, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote (2) to this Form 4.
