250,000 shares (the "2018 LTIP Shares") of common stock, par value $0.0001 per share, of the issuer (the "Common Stock") were received as compensation for the reporting person's service as a member of the issuer's board of directors and as an officer pursuant to the issuer's 2018 Long-Term Stock Incentive Plan.
