As previously reported, on November 22, 2021, shares of common stock, par value $0.0001 per share, of Beyond Air, Inc. (the "Company") were issued to the reporting person in connection with the exercise of a warrant to purchase 50,000 shares of common stock of the Company for $3.66 a share on a cashless exercise basis, resulting in the Company's withholding of 12,536 of the warrant shares to pay the exercise price and issuing to the reporting person the remaining 37,464 shares of common stock of the Company. These transactions were exempt from Section 16(b) of the Securities Exchange Act of 1934 pursuant to Rule 16b-3. On November 24, 2021, the reporting person sold the 37,464 shares of common stock of the Company acquired in connection with the warrant exercise.
The sale price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $12.9394 to $13.9389, inclusive. The reporting person undertakes to provide to the Company, any security holder of the Company, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth in this footnote (2) to this Form 4.
