- The shares were part of 80,000 shares sold by ARMOUR Capital Management LP ("ACM"), a limited partnership that is the external manager of the issuer. Mr. Zimmer is reporting a sale by ACM of the shares in which he has a pecuniary interest based on his proportionate ownership interest in ACM.
- The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $10.77 to $10.84, inclusive.
