This report relates to the cancellation of issuer securities by the reporting person pursuant to the Agreement and Plan of Merger, dated as of November 9, 2010, as amended by Amendment No. 1 to Agreement and Plan of Merger, dated as of March 17, 2011, that VCG Holding Corp. entered into with Family Dog LLC, FD Acquisition Co., Mr. Ocello and Mr. Lowrie, providing for the merger of FD Acquisition Co. with and into the issuer ("Merger Agreement").
Cancelled pursuant to the Merger Agreement.
The reporting person is the Owner of LTD Investments Group, LLC. The reporting person disclaims beneficial ownership of these share except to the extent of his pecuniary interest therein.
This option to purchase issuer common stock, which provides for vesting of one-third on 10/12/10, the second one-third vests on 10/12/12 and the last one-third on 10/12/14. In accordance with the Merger Agreement, these shares have been cancelled.
