On August 5, 2020, Robert A. Berman (the "Reporting Person") entered into a Stock Purchase Agreement (the "Agreement") with James K. McCarthy (the "Seller") to purchase 2,725,836 shares of common stock of Rekor Systems Inc. (the "Common Stock") at a price of approximately $2.57 per share. The closing of the transaction is conditioned upon the Reporting Person's payment of: (i) $200,000 which amount has been received as of the date of the Agreement; and (ii) $6,800,000 no later than forty-five days from the date of the Agreement (the "Purchase Price"). Upon payment of the Purchase Price, the Seller shall transfer ownership of the Common Stock to the Reporting Person.
The Reporting Person is the general partner of Avon Road Partners, L.P.
