On May 15, 2020 (the "Effective Date"), SORL Auto Parts, Inc. (the "Issuer") completed the merger pursuant to that certain agreement and plan of merger dated as of November 29, 2019 (the "Merger Agreement"), by and among the Issuer, Ruili International Inc., a Delaware corporation ("Parent"), and Ruili International Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of Parent ("Merger Sub"), under which Merger Sub was merged with and into the Issuer (the "Merger"), with the Issuer surviving the Merger as a wholly owned subsidiary of Parent.
Immediately prior to consummation of the Merger, Reporting Person contributed her directly owned shares of Issuer's common stock to Parent in exchange for newly issued shares of Parent pursuant to that certain Equity Contribution and Voting Agreement, dated as of November 29, 2019, by and among Parent, Mr. Xiaoping Zhang, Ms. Shuping Chi and Mr. Xiaofeng Zhang. Pursuant to the Merger Agreement, Reporting Person's indirectly owned shares of Issuer's common stock were cancelled for no consideration on the Effective Date of the Merger.
