Pursuant to an underwriting agreement, dated May 21, 2018 (the "Underwriting Agreement"), and in connection with the registered public offering of shares of Common Stock, par value $0.001 per share (the "Common Stock"), of Benefitfocus, Inc., pursuant to the final prospectus dated May 21, 2018, which offering was consummated on May 24, 2018 (the "Offering"), certain limited partnerships (the "Limited Partnerships") sold an aggregate of 2,500,000 shares of Common Stock.
Goldman Sachs and GS Group may be deemed to beneficially own indirectly, in the aggregate, 3,742,946 shares of Common Stock by reason of the direct beneficial ownership of such shares by the Limited Partnerships because affiliates of Goldman Sachs and GS Group are the general partner, managing limited partner, managing general partner, managing partner, managing member or member of each of the Limited Partnerships. Goldman Sachs beneficially owns directly and GS Group may be deemed to beneficially own indirectly 31,789 shares of Common Stock and Goldman Sachs also had open short positions of 449 shares of Common Stock, reflecting changes due to exempt transactions.
