Payment for the acquired common stock (the "Common Stock") was made in the form of the transfer of ownership to the issuer of the Common Stock (the "Issuer") by Fengate Trident LP (the "Purchaser") of a Convertible Promissory Note dated January 22, 2016, originally entered into between Mycell Technologies LLC and LPF (MCTECH) Investment Corporation ("LPF") and later transferred and assigned by LPF to the Purchaser. The note's outstanding principal amount is $511,141.17 and its accrued but unpaid interest as of September 12, 2017 is $94,526.11.
Fengate Trident LP is a private investment limited partnership that may be deemed the direct beneficial owner of the securities referred to herein. Fengate Capital Management Ltd. is the investment manager to and Fengate Trident GP, Inc. is the general partner of Fengate Trident LP. Each of the Reporting Persons disclaims beneficial ownership of the securities referred to herein except to the extent of their pecuniary interest therein.
