At September 6, 2017, includes shares held by Phoenix Venture Fund LLC ("Phoenix") (1,091,775), SG Phoenix LLC ("SG") (24,524) and Mr. Sassower, individually (2,000). All shares held by Mr. Sassower, his spouse and by him as trustee of certain trusts benefiting his spouse have been sold. Mr. Sassower is a co-manager of Phoenix and SG, entities in which Mr. Sassower shares voting and dispositive power with another co-manager.
