These shares were purchased by Bristol Investment Fund, Ltd., a Cayman Islands exempted company ("Bristol Investment") managed by Bristol Capital Advisors LLC ("Bristol Capital"), a Delaware limited liability company, of which Mr. Kessler, as the manager of Bristol Capital, has voting and dispositive power over the shares beneficially owned. Bristol Investment owns a total of 7,670,083 shares of the Company's common stock.
