(1) Pursuant to the Securities Purchase Agreement dated April 28, 2015, between CoCo Partners, LLC ("CoCo") and the Issuer, CoCo purchased an aggregate of 7,625,000 shares of common stock of the Issuer for $3,050,000.
(2) The Reporting Person is the President and sole stockholder of Gateway Advisors, Inc., which is the managing member of CoCo. As such, the Reporting Person may be deemed to be the beneficial owner of the securities held by CoCo reported herein. The Reporting Person disclaims beneficial ownership of these securities, except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of such securities for Section 16 or any other purpose.
