The Reporting Person purchased limited partner interests in Jones Energy Team 3, LP ("JET 3") from other limited partners holding interests in JET 3. JET 3 owns Units in Jones Energy Holdings, LLC ("JEH LLC") and a corresponding number of shares of Class B common stock in Jones Energy, Inc.
The Reporting Person purchased limited partner interests in Jones Energy Team 4, LP ("JET 4", and together with JET 3, the "JET Entities") from other limited partners holding interests in JET 4. JET 4 owns interests in an entity that owns Units in Jones Energy Holdings, LLC ("JEH LLC") and a corresponding number of shares of Class B common stock in Jones Energy, Inc.
Subject to the terms of the governing agreements of the JET Entities and JEH LLC and an Exchange Agreement, dated July 29, 2013 and included as Exhibit 10.3 to the Issuer's Current Report on Form 8-K dated July 30, 2013, the reporting person has the right to exchange the Units of JEH LLC (together with a corresponding number of shares of Class B common stock) at any time and from time to time for shares of Class A common stock of Jones Energy, Inc.
