The disposition of 6,000,000 shares of common stock, par value $0.01 per share, of SunEdison, Inc. ("Common Stock"), represents a disposition from a private investment fund to which Altai Capital Management, L.P. ("ACM") provides investment advisory services. The shares of Common Stock held by that private investment fund may be deemed to be beneficially owned by ACM by virtue of its voting and investment power over those shares. See note 2 below.
The reporting person is a managing principal of ACM and a member of Altai Capital Management, LLC. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
