On September 3, 2013, the Board of Directors of the Registrant agreed to issue Mr. Toevs an aggregate of 82,855 shares of common stock in consideration for $32,065 owed and which will be owed to Mr. Toevs for services rendered and to be rendered from September 1, 2013 to October 31, 2013.
The Company agreed to issue Mr. Toevs 100,000 shares of common stock on September 10, 2013 as a signing bonus in connection with the entry into an amended and restated employment agreement.
The Options vest annually over a three-year period from the grant date.
