The number of shares has been adjusted to reflect GMX Resources Inc.'s 13-to-1 reverse stock split consummated on January 3, 2013.
In connection with the vesting of shares of restricted stock, the issuer withheld vested shares and agreed to satisfy the executive's withholding tax obligations in lieu of cash. The number of vested shares withheld was based on the average of the high and low price per share on June 3, 2013. The number of shares indicated in the Form 4 were acquired as treasury stock by the issuer.
