Footnotes

Pursuant to the terms of the First Amended and Restated Agreement of Limited Partnership of the Issuer (the "Partnership Agreement"), the Subordinated Units were converted into Common Units on a one-for-one basis as provided in the Partnership Agreement.
Following the transactions reported herein, GIP II Eagle Holdings Partnership, L.P. ("Eagle Holdings") and GIP II Eagle 2 Holding, L.P. ("Eagle 2") are the record holders of 59,247,463 and 995,264 Common Units, respectively. GIP II Eagle Acquisition Holdings GP, LLC ("Eagle GP") is the general partner of Eagle Holdings. Global Infrastructure GP II, L.P. ("Global GP") is the managing member of Eagle GP and is also the general partner of the managing member of the general partner of Eagle 2. Global Infrastructure Investors II, LLC ("Global Investors") is the general partner of Global GP. By virtue of these relationships, each of the aforementioned entities may be deemed to share beneficial ownership of the Common Units reported herein. Each such entity expressly disclaims beneficial ownership of any such Common Units except to the extent of its pecuniary interest therein.
