- The Reporting Person acquired shares of the Issuer's Common Stock pursuant to a Stock Transfer Agreement (the "Agreement") dated July 31, 2013 between Joselito Christopher G. Imperial, a director of the Issuer, and the Reporting Person. Under the Agreement, the Reporting Person does not have any voting or dispositive control over the shares of Common Stock that have not been released to him. Shares of Common Stock are released to the Reporting Person upon the achievement by the Company of certain milestones as more fully described in the Agreement.
