  1. These operating partnership units ("OP Units") of Acadia Realty Limited Partnership represent a portion of the OP Units that were granted to Mr. Bernstein on August 12, 1998. The OP Units are exchangeable on a 1:1 basis for common shares of beneficial interest in Acadia Realty Trust. There is no expiration date for the conversion of OP Units.
  2. These shares were sold in connection with Mr. Bernstein's year-end tax planning in five separate sales transactions at a weighted average sales price of $25.0108.
