("BD Management") on behalf of a managed account (the "Managed Account") and purchased pursuant to a 10b5-1 plan.
Represents shares of Common Stock directly beneficially owned by Becker Drapkin Partners (QP), L.P. ("Becker Drapkin QP") (1,379,894 shares), Becker Drapkin Partners, L.P. ("Becker Drapkin, L.P.") (191,517 shares), BD Partners V, L.P. ("BD Partners V") (808,221 shares) and BD Management on behalf of the Managed Account (1,259,303 shares). (continued in Footnote 3).
