This Amendment No. 6 (this “Amendment”) relates to the report on Schedule 13D filed on August 2, 2019, as amended by Amendments Nos. 1, 2, 3, 4 and 5 thereto filed on February 6, 2020, July 22, 2021, December 1, 2021, February 17, 2022 and November 9, 2022, respectively (as so amended, the “Amended Report”), with respect to the common stock, $0.001 par value per share (“Common Stock”), of Emmaus Life Sciences, Inc.) (the “Issuer”). The Issuer’s principal executive offices are located at 21250 Hawthorne Boulevard, Suite 800, Torrance, California 90503.

 

Items 3 – 5 of the Amended Report are hereby further amended and supplemented by the following information:

 

Item 3. Source and Amount of Funds or Other Consideration.  

 

Since the filing on November 9, 2022 of the most recent Amendment to the Amended Report through January 12, 2023, the date of the event which required the filing of this Amendment, the Reporting Persons purchased from their personal or retirement funds in open market transactions approximately 48,800 shares of Common Stock, or approximately 0.4% of the total shares beneficially owned by Dr. Niihara as reported in such Amendment. On January 12, 2023, the Issuer granted to Dr. Niihara a compensatory warrant to purchase up to 7,500,000 shares of Common Stock. The shares underlying the warrant, together with the purchased shares, constitute approximately 36.0% of the total shares beneficially owned by Dr. Niihara as reported in such Amendment.

 

Item 4. Purpose of Transaction.

 

  (a)

The shares of Common Stock purchased by the Reporting Persons as described in Item 3, above, were acquired for investment purposes. Any shares of Common Stock acquired by Dr. Niihara upon exercise of the warrant described in Item 3, above, will be held for investment purposes. The Reporting Person may determine to purchase additional shares of Common Stock, or to dispose of shares of Common Stock, from time to time in open market transactions or in privately negotiated transactions.
