Shares issued to Harmel S. Rayat pursuant to a promissory note settlement agreement entered into between Ceres Ventures, Inc. (the Company) and Mr. Rayat pursuant to which Mr. Rayat was issued 7,500,000 shares of the Companys common stock as payment in full of the outstanding balance of $750,000 related to a promissory note previously issued to the Company by Mr. Rayat.
Mr. Rayat disclaims beneficial ownership of all shares beneficially owned by his wife and other family members.
