The Reporting Person is filing this Form 4 on behalf of itself and on behalf of Greenback Acquisition Corporation ("Greenback"), formerly a Delaware corporation and an indirect wholly owned subsidiary of the Reporting Person. The shares of common stock to which this Form 4 relates were acquired by Greenback directly from the Issuer pursuant to an agreement and plan of merger, dated as of December 20, 2010, among the Issuer, the Reporting Person and Greenback, following the expiration of a tender offer for all outstanding shares of common stock of the Issuer, upon the terms and subject to the conditions set forth in the Offer to Purchase dated January 13, 2011, which was annexed to and filed with the Schedule TO filed by the Reporting Person with the Securities and Exchange Commission on January 13, 2011. Following the acquisition of shares as reported herein, Greenback was merged with and into the Issuer and the shares reported herein were canceled.
