Each deferred stock unit represents the right to receive one share of common stock of the issuer at the end of the deferral period described below. Pursuant to the award agreement, the deferred stock units vest in four installments, with 838 units vesting on July 31, 2017 and 837 units vesting on each of October 31, 2017, January 31, 2018 and the last day before the 2018 Annual Meeting of Stockholders. The vested shares will be delivered to the reporting person on May 11, 2020, unless an election is made by the reporting person to defer receipt of such shares to a later date.
