Exercises and sales pursuant to a 10b5-1 plan. All of the exercised options were scheduled to expire in 2016 on the expiration dates reported within Table II unless exercised. The reporting person sold the shares resulting from the option exercises with the intent to use the proceeds from those sales primarily to cover the exercise prices of the exercised options as well as to fund tax obligations resulting from the reported transactions and other transactions relating to issuer common stock awards granted to the reporting person.
The price reported represents the weighted average sales price of shares sold in multiple transactions at prices ranging from $28.00 to $28.14 per share. The reporting person will provide to the issuer, any security holder of the issuer or the SEC staff, upon request, information regarding the number of shares sold at each price within the range.
These shares were previously reported as directly beneficially owned by the reporting person. On May 28, 2015, the reporting person contributed these shares to a grantor retained annuity trust established by the reporting person.
