Greenlight Capital, Inc. ("Greenlight Inc.") controls the voting and disposition of all shares of common stock held by Greenlight Offshore as the investment advisor of Greenlight Offshore. David Einhorn, Chairman of the Board of Directors of the Issuer, is the president of Greenlight Inc. As an owner of Greenlight Inc., Mr. Einhorn may have a pecuniary interest in a portion of the securities held by Greenlight Offshore.
