The stock option exercise and sale of shares of common stock ("Shares") reported in this Form 4 was effected pursuant to a Rule 10b5-1 plan adopted by the reporting person on March 10, 2014.
The reporting person previously transferred an option to purchase 5,625 Shares of the original 15,000 granted under this stock option, which transfer was not reported as permitted under Rule 16a-12 of the Securities Exchange Act.
The stock option granted the reporting person an option to purchase 15,000 Shares. 1/36 of such Shares vested and became exercisable on 12/02/2011, and 1/36 of the remainder of such Shares vested and became exercisable monthly thereafter.
This transaction was executed in multiple trades through a broker-dealer at prices ranging from $83.30 to $83.33. The price reported in this column reflects the weighted average sales price.
