Exempt grant of 1 million nonqualified stock options under Rule 16b-3 of option pursuant to 2001 Stock Incentive Plan. The exercise price per share is the closing price per share on NASDAQ on the date of grant (November 13, 2008). 350,000 of the nonqualified stock options were forfeited on 1/1/10 and the remaining 650,000 nonqualified stock options are fully vested and scheduled to expire on 7/1/10.
