On December 30, 2009, the Reporting Persons entered into an agreement for the private sale of all of the common shares of the Issuer owned by them. The transaction is scheduled to close on January 15, 2010. There are no conditions to closing and, therefore, pursuant to Section 16(a) of the Securities Exchange Act of 1934, as amended, the Reporting Persons' obligation to sell the common shares of the Issuer owned by them constitutes an irrevocable commitment.
