Shares were awarded pursuant to the amended and restated 2002 Non-Employee Director Stock Plan. The shares are subject to forfeiture and are non-transferable until vested. The shares vest in three (3) annual installments from the date of grant. Twenty five percent (25%) of the shares vest upon the first and second anniversary, the remaining fifty percent (50%) vests on the third anniversary of the date of grant.
This number includes 129,335 restricted shares awarded pursuant to the amended and restated 2002 Non-Employee Director Stock Plan. These shares remain subject to forfeiture and are nontransferable until vested. The shares vest over either three (3) or four (4) years from the date of grant.
The sale price represents the weighted average sales price of individual sales totaling 2,290 shares in the aggregate. The transactions occurred at prices in the range of $16.91 per share to $17.00 per share.
